1. Acceptance of Terms

By accessing or using the MakerVera platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and MakerVera, LLC ("we," "our," or "us").

2. Description of Service

MakerVera is a software-as-a-service (SaaS) platform designed for makerspace management. The platform enables makerspace operators to manage memberships, equipment authorizations, bookings, events, classes, billing, and other community operations. Members of participating makerspaces use the platform to interact with their makerspace.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Makerspace Operator Terms

If you use MakerVera as a makerspace operator, you additionally agree to:

• Comply with all applicable laws and regulations in your jurisdiction
• Maintain accurate information about your makerspace, including operating hours, pricing, and policies
• Handle member data in accordance with your own privacy policy and applicable data protection laws
• Not use the platform to facilitate illegal activities
• Ensure that any staff or administrators you grant access to also comply with these Terms
• Be responsible for the content you publish through the platform, including event descriptions, membership terms, and makerspace policies

5. Member Terms

If you use MakerVera as a makerspace member, you agree to:

• Comply with the rules and policies of the makerspace you are a member of
• Honor bookings and cancellation policies set by your makerspace
• Use equipment only for which you have been authorized
• Treat makerspace facilities, equipment, and other members with respect
• Accept that your membership data (including bookings, authorizations, and activity) is visible to your makerspace operator

6. Payments and Billing

• All payments are processed through our third-party payment provider, Stripe. By making a payment, you agree to Stripe's terms of service.
• Prices for memberships, products, and services are set by individual makerspace operators and may change at any time.
• Subscription memberships will automatically renew at the end of each billing period unless cancelled before the renewal date.
• Refund policies are determined by individual makerspace operators. Please contact your makerspace directly for refund requests.
• You are responsible for any applicable taxes associated with your purchases.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Upload or transmit viruses, malware, or any other harmful code
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Harvest, collect, or gather user data without consent
• Use the Service to send unsolicited communications or spam
• Circumvent, disable, or otherwise interfere with security features of the Service

8. Intellectual Property

• The MakerVera platform, including its design, code, logos, and content, is the property of MakerVera, LLC and is protected by intellectual property laws.
• You retain ownership of any content you submit to the platform. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to provide the Service.
• You may not copy, modify, distribute, sell, or lease any part of the Service or its software without our written permission.

9. User Content

• You are solely responsible for any content you upload, post, or transmit through the Service.
• You represent that you have the right to share any content you submit and that it does not violate any third-party rights.
• We reserve the right to remove content that violates these Terms or that we find objectionable, without prior notice.
• Our Content & Expression Policy explains what content is and isn't allowed and how to report it.

10. Termination

• You may close your account at any time by contacting us or through your account settings.
• We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.
• Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will continue to apply.
• Makerspace operators are responsible for informing their members of any changes that affect member access.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any defects in the Service will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKERVERA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless MakerVera and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you are located in a jurisdiction where arbitration agreements are not enforceable.

These Terms were written in English. If a translation differs from the English version, the English version prevails to the extent permitted by applicable law.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through the platform or by email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
